In these Terms, "Save On Blinds," "Rightlook," "we," "us" and "our" refer to Rightlook Window Fashions Ltd.

"You," "your," "customer" and "client" refer to the person accessing the Website, requesting an estimate or quotation, or purchasing products or services.

2. Acceptance of These Terms

Please read these Terms carefully before using the Website or placing an order.

By accessing the Website, creating an account, requesting an estimate, selecting an acceptance checkbox, submitting an order or completing a purchase, you acknowledge that you have read and agree to these Terms.

An online purchase may also be governed by:

  • the estimate or quotation
  • the order summary presented before checkout
  • the order confirmation
  • the applicable product specifications
  • our Privacy Policy
  • our Return and Refund Policy
  • our Shipping and Delivery Policy
  • applicable warranty terms; and
  • any written measurement, installation or service agreement accepted by you

These documents are incorporated into these Terms by reference.

Where a separate written estimate, quotation, sales contract or installation agreement expressly conflicts with these Terms, the more specific written agreement will govern the transaction to the extent of the conflict.

If you do not agree with these Terms, do not use the Website or submit an order.

3. Consumer Rights

Nothing in these Terms limits, excludes or waives any right or remedy that cannot legally be limited, excluded or waived under applicable consumer-protection legislation.

Where you are purchasing as a consumer, these Terms are subject to the mandatory requirements of the consumer-protection laws that apply in your province or territory.

Any disclaimer, limitation, cancellation rule, warranty restriction or dispute provision in these Terms applies only to the maximum extent permitted by law.

4. Eligibility and Authority

You must be at least the age of majority in your province or territory to place an order through the Website.

By using the Website or submitting an order, you represent that:

  • the information you provide is accurate and complete
  • you are legally capable of entering into a binding agreement
  • you are authorized to use the selected payment method; and
  • where you act for a company, property owner or another person, you have authority to bind that party

The Website is not intended for unsupervised use by minors.

5. Website Availability and Changes

We may update, modify, suspend or discontinue portions of the Website from time to time.

We do not guarantee that:

  • every product will always be available
  • every Website feature will always operate without interruption
  • product configurations will be available in every size
  • all services will be available in every geographic area; or
  • information will always be free from typographical or technical errors

We may temporarily restrict access for maintenance, security, technical or operational reasons.

We will not materially alter an already accepted customer order solely by changing content published on the Website.

6. Website Information Is General Information

Website content is provided for general product, design and purchasing information.

Photographs, illustrations, renderings, room scenes, videos, samples and visualization tools are intended to provide a reasonable representation of products. They may not reproduce the exact appearance of:

  • colours
  • textures
  • weave patterns
  • opacity
  • gloss
  • grain
  • finishes
  • hardware
  • light filtration; or
  • scale

Appearance can vary according to lighting, screen settings, dye lots, natural materials and normal manufacturing tolerances.

Customers should request or review a physical sample where colour, texture or material appearance is important. A physical sample remains representative and may vary from the finished product because of dye-lot, texture, weave or natural-material variations.

7. Product Descriptions and Specifications

We make reasonable efforts to provide accurate product descriptions, dimensions, limitations and specifications.

Product specifications may include:

  • minimum and maximum widths or drops
  • fabric-width limitations
  • control restrictions
  • mounting requirements
  • deductions and allowances
  • stacking requirements
  • motor or battery requirements
  • hardware dimensions
  • installation clearances; and

child-safety requirements.

A requested product configuration may be unavailable or may require alteration if it exceeds a manufacturer's engineering, production or safety limitations.

We may contact you before production to recommend or require a change where:

  • the requested dimensions are outside allowable limits
  • the selected material is unsuitable for the requested size
  • the selected control system is incompatible
  • the product cannot be manufactured safely
  • required installation clearance is unavailable; or
  • the configuration does not comply with applicable safety requirements

No material substitution or alteration to an accepted consumer order will be made without customer authorization where authorization is required by law.

8. Prices, Taxes and Additional Charges

Unless otherwise stated, prices displayed on the Website are in Canadian dollars.

Applicable taxes, shipping, delivery, measurement, installation and other optional charges will be identified before purchase or included in the applicable written estimate or quotation.

We will not add an undisclosed mandatory fee after checkout except where the fee is:

  • required by law
  • caused by inaccurate information supplied by the customer
  • requested by the customer after the order
  • approved through a written order change; or
  • associated with site conditions that could not reasonably have been identified before an on-site inspection and are subsequently approved by the customer

Promotional prices, discount codes and special offers:

  • may have stated expiry dates
  • may apply only to selected products
  • may not be combined unless expressly permitted
  • may be limited by quantity, territory or customer
  • have no cash value; and
  • may be corrected or withdrawn before an order is accepted where published in error

9. Estimates and Quotations

Unless the estimate or quotation expressly states a longer period, an estimate or quotation will remain valid until the later of:

  • 15 calendar days after the date it was issued; or
  • the final calendar day of the month in which it was issued

For example, an estimate issued on the first day of a month will generally remain valid until the end of that month, while an estimate issued near the end of a month will remain valid for at least 15 calendar days.

Unless expressly stated otherwise:

  • estimates and quotations remain subject to product availability
  • applicable taxes are additional unless expressly included
  • measurements and specifications remain subject to verification
  • manufacturing, shipping and installation dates are estimates
  • quoted lead times are not guaranteed
  • promotional pricing may be subject to the stated promotional conditions; and
  • requested changes may affect pricing and completion dates

An estimate or quotation does not obligate us to supply a product until:

  • the customer has accepted it
  • any required deposit or payment has been received
  • required measurements and specifications have been confirmed; and
  • we have accepted the resulting order

10. Online Contract Formation

Products displayed on the Website are invitations to submit an order and are not necessarily binding offers by us.

Before submitting an online order, you will be given an opportunity to:

  • review the selected products
  • review quantities and specifications
  • review measurements
  • review the total price and applicable charges
  • correct identified errors; and
  • accept or decline the transaction

Submitting an order constitutes an offer to purchase.

An automatic acknowledgement that we received the order does not necessarily mean the order has been accepted.

We may accept an order when we:

  • send an order-confirmation notice expressly accepting it
  • approve the order for production
  • begin manufacturing the custom product; or
  • otherwise communicate acceptance

We may refuse or cancel an order before production or fulfillment where:

  • the product is unavailable
  • the supplier or manufacturer has discontinued the product, material, fabric, colour, component or operating system
  • the requested configuration cannot be manufactured
  • the price or description contains an obvious error
  • payment cannot be authorized
  • fraud or unauthorized activity is suspected
  • the order violates these Terms
  • the order cannot be fulfilled lawfully or safely; or
  • delivery or service is unavailable at the requested location

Where a supplier has discontinued a product after the order is accepted, we may offer:

  • a comparable replacement
  • an alternative product or material
  • a revised order
  • cancellation of the affected portion of the order; or
  • cancellation of the entire order where the discontinued item is material to the overall transaction

No substitution will be made without customer authorization where authorization is required.

If we cancel all or part of an order after taking payment, the amount paid for the cancelled portion will be refunded unless a lawful deduction applies.

We will provide an order confirmation or other written copy of the online agreement in a form that can be retained or printed within the period required by applicable law.

11. Customer Responsibility for Order Review

Customers must carefully review all order information before submitting an order and again upon receiving the order confirmation.

The customer is responsible for confirming:

  • product type
  • quantity
  • width and height
  • measurement units
  • inside-mount or outside-mount selection
  • fabric and colour
  • control type and control side
  • roll direction
  • mounting type
  • hardware colour
  • motorization selections
  • power requirements
  • shipping and installation addresses; and

room or window labels.

Contact us immediately if an order confirmation contains an error.

Because many products are manufactured to customer specifications, changes may not be possible after production begins.

12. Measurements

12.1 Customer-supplied measurements

Where the customer provides measurements, the customer is responsible for their accuracy unless we expressly agree in writing to verify them.

The customer must follow the measurement instructions applicable to the selected product and mounting method.

Customers should not make manufacturing deductions unless our Website or written instructions specifically direct them to do so.

A product manufactured correctly according to measurements or specifications supplied or approved by the customer is not defective merely because it does not fit the intended opening.

12.2 Professional measurements

Where we or an authorized representative perform the final measurements and supply the product based on those measurements, we will be responsible for measurement errors within the scope of the agreed measurement service, subject to:

  • the opening remaining materially unchanged
  • the customer not altering the mounting surface
  • concealed site conditions
  • information withheld from the representative
  • structural movement; and
  • other exclusions disclosed in the measurement or installation agreement

12.3 Changes after measurement

The customer must notify us before production if:

  • windows, trim, flooring or walls are being replaced
  • tile, backsplash or other finishes will be installed
  • the mounting surface will change
  • furniture or fixtures will obstruct operation
  • electrical work is incomplete; or
  • another renovation may affect dimensions or installation

Additional measurement, remanufacturing or installation charges may apply when site conditions change after measurements are approved.

13. Custom and Made-to-Order Products

Many products sold through Save On Blinds are custom manufactured according to customer measurements, colour choices, materials, control selections and other specifications.

Custom and made-to-order products may not be resalable.

Subject to mandatory consumer rights, custom products generally cannot be:

  • cancelled after production begins
  • returned because the customer changes their mind
  • exchanged for a different colour or product
  • returned because of incorrect customer-supplied measurements; or
  • refunded where manufactured in accordance with the approved order

This restriction does not eliminate rights relating to:

  • defective products
  • products that materially differ from the accepted agreement
  • our measurement errors where we accepted measurement responsibility
  • shipping damage for which we or the carrier are responsible; or
  • other rights that cannot legally be excluded

14. Changes and Cancellations

Contact us immediately to request a change or cancellation.

A cancellation or change is not effective until confirmed by us in writing.

Before production begins, we will make reasonable efforts to accommodate requested changes or cancellations.

After material ordering, cutting, programming, production or fabrication begins:

  • cancellation may not be possible
  • deposits may become non-refundable
  • completed work and committed costs may be charged; and
  • changes may require a replacement or additional order

An order or affected portion of an order may also be cancelled where a supplier or manufacturer has discontinued the applicable product, fabric, material, colour, component or system and no acceptable replacement is approved by the customer.

Any cancellation charge will be limited to amounts permitted by law and reasonably connected to work performed, custom materials ordered, non-recoverable costs or contractual commitments.

This section does not limit a cancellation right available under applicable law.

15. Payment

We may require:

  • full payment at checkout
  • a deposit followed by a balance payment
  • payment before production
  • payment before shipment; or
  • payment according to an accepted written estimate or quotation

You authorize us and our payment processors to charge the payment method provided for all amounts shown and accepted at checkout or in the applicable agreement.

Payment obligations are not satisfied until funds have been received and cleared.

Where payment is reversed, charged back or dishonoured without valid legal grounds, we may:

  • suspend production
  • withhold delivery
  • suspend installation
  • recover reasonable collection costs where permitted; and

pursue other lawful remedies.

Third-party financing is subject to the financing provider's approval, disclosures, rates and separate terms.

16. Order Verification and Fraud Prevention

We may require additional verification before processing an order, including confirmation of:

  • identity
  • billing information
  • shipping information
  • payment authorization; or

authority to place the order.

We may delay or refuse an order where reasonably necessary to investigate suspected fraud, misuse or unauthorized payment activity.

17. Manufacturing, Lead Times and Contract Dates

Manufacturing, shipping, delivery and installation dates are estimates unless we expressly guarantee a specific date in writing.

Lead times may be affected by:

  • product availability
  • supplier back orders
  • discontinued products or components
  • material shortages
  • supplier delays
  • custom production requirements
  • quality-control inspections
  • damage occurring during shipping
  • replacement of products damaged during shipping
  • carrier delays
  • labour disruptions
  • severe weather
  • customs or border delays
  • power interruptions
  • public emergencies
  • force-majeure events; or
  • incomplete or inaccurate customer information

We will make reasonable efforts to notify the customer of a material delay.

Where all or part of an order is placed on back order and the customer accepts the delay, the affected portion of the order may be manufactured, delivered, installed or otherwise completed after the original estimated or contractual completion date.

The customer's acceptance of a back-order delay may be provided by email, text message, customer-portal confirmation, signed change order or another written method.

Where practical, unaffected portions of an order may be completed separately. Additional delivery or installation arrangements will be discussed with the customer before additional charges are incurred.

An estimated production, delivery or installation date is not a guarantee unless expressly identified in writing as a guaranteed date.

Nothing in this section limits statutory rights relating to delayed performance or late delivery.

18. Shipping and Delivery

Shipping and delivery are governed by the Shipping and Delivery Policy and the applicable order confirmation.

The customer is responsible for providing a complete and accurate delivery address.

Delivered packages should be inspected as soon as reasonably possible.

Visible shipping damage should be:

  • noted with the carrier where possible
  • photographed before unpacking where practical
  • reported to us promptly; and
  • retained with the original packaging while the claim is reviewed

Customers should not discard damaged products or packaging until instructed to do so.

Where a product is damaged in shipping, production and delivery of a replacement may extend the original lead time or completion date.

Risk of loss will pass according to applicable law and the agreed delivery method.

We are not responsible for delays caused solely by:

  • inaccurate customer information
  • customer refusal or failure to accept delivery
  • inaccessible premises
  • incomplete delivery instructions; or
  • carrier circumstances outside our reasonable control

subject to applicable law.

Additional charges may apply for:

  • redelivery
  • storage
  • remote-area service
  • address corrections
  • special handling; or
  • delivery attempts caused by customer unavailability

19. Professional Installation

Professional installation is included only where expressly stated in the order or quotation.

Installation may be provided by:

  • our employees
  • authorized installers
  • local dealers; or
  • independent contractors acting on our behalf

Before installation, the customer must:

  • provide safe and reasonable access
  • remove fragile or obstructing items
  • identify known concealed wiring, plumbing or other hazards
  • secure pets
  • ensure an adult with authority is present where required
  • provide electrical power where needed; and
  • disclose hazardous or unusual conditions

Standard installation does not include structural alteration, electrical work, asbestos remediation, painting, drywall repair, hazardous-material removal or other construction work unless expressly agreed.

Additional charges may apply where installation requires work not reasonably apparent from the original information or inspection. No additional charge will be imposed without customer authorization where authorization is required by law.

20. Customer Self-Installation

Where an order is purchased on a supply-only or self-installation basis, the customer accepts full responsibility for installing the product properly and safely.

20.1 Installation assistance

General installation instructions may be supplied with the product or made available online.

Where the customer requests additional assistance, including:

  • telephone or video assistance
  • troubleshooting
  • on-site assistance
  • correction of an unsuccessful installation
  • removal and reinstallation
  • programming assistance; or
  • a service call

additional fees may apply.

Any applicable assistance, travel, labour or service-call fees will be disclosed before the service is provided where reasonably practical.

20.2 Product damage during self-installation

To the maximum extent permitted by law, we are not responsible for damage to a blind, shade, motor, control, bracket, valance, fascia, cassette, fabric or other component caused during or resulting from customer self-installation.

Examples include damage caused by:

  • dropping the product
  • incorrect bracket placement
  • forcing components together
  • using incorrect screws or fasteners
  • drilling into the product
  • overtightening
  • incorrect wiring
  • failure to follow instructions
  • using unsuitable tools; or
  • operating the product before it is securely installed

Damage caused during self-installation is not considered a manufacturing defect.

Replacement parts, remakes, repair services or service calls required because of improper self-installation may be charged to the customer.

20.3 Damage to walls and surrounding property

To the maximum extent permitted by law, we are not responsible for damage to walls, ceilings, trim, tile, stone, glass, flooring, wiring, plumbing, furniture or other surrounding property caused during customer self-installation.

The customer is responsible for identifying:

  • suitable mounting locations
  • studs or structural supports
  • concealed wiring
  • concealed plumbing
  • unsuitable or fragile surfaces
  • asbestos or other hazardous materials; and
  • the appropriate type and size of fasteners

20.4 Tools, equipment and installation safety

The customer is responsible for obtaining and safely using all tools, ladders, fasteners, anchors, drills, levels, personal protective equipment and other equipment required for installation.

The customer accepts responsibility for:

  • determining whether the mounting surface is suitable
  • using appropriate anchors and fasteners
  • following all installation instructions and warnings
  • following ladder and workplace-safety practices
  • ensuring the product is securely mounted
  • obtaining qualified assistance where required
  • keeping children and other persons away from the work area; and
  • arranging licensed electrical work where legally required

We recommend that the customer engage a qualified installer where they do not have the tools, experience, physical ability or technical knowledge needed to complete the installation safely.

20.5 Motorized products

For self-installed motorized blinds and shades, the customer is responsible for:

  • charging batteries before use
  • connecting chargers or power supplies properly
  • installing required hubs or bridges
  • programming motors and limits
  • pairing remotes
  • connecting compatible applications
  • configuring wireless or smart-home systems
  • maintaining internet, Wi-Fi, Zigbee or Bluetooth compatibility; and
  • following the motor manufacturer's instructions

Programming or motorization assistance may be subject to additional service fees.

Electrical work that legally requires a licensed electrician must be completed by a properly licensed electrician retained by the customer unless otherwise expressly agreed.

20.6 Level installation and shade tracking

The customer must mount all brackets and shades level in relation to the floor and each other.

A shade installed out of level may:

  • roll unevenly
  • track to one side
  • telescope
  • rub against hardware
  • develop fabric wrinkles; or

operate improperly.

Tracking, telescoping or uneven rolling caused by an out-of-level or otherwise improper self-installation is not considered a manufacturing defect.

21. Motorized and Smart Products

Motorized and smart products may depend on:

  • compatible motors
  • batteries
  • chargers
  • remotes
  • hubs
  • Wi-Fi
  • Bluetooth
  • Zigbee
  • third-party applications
  • smart-home platforms
  • internet access; or

electrical power.

Compatibility with every third-party platform, router, device or future software version is not guaranteed unless expressly stated.

Third-party applications and services are governed by the provider's terms and may be changed or discontinued by that provider.

Battery life and wireless range vary according to product size, usage, temperature, signal conditions, network configuration and other factors.

Electrical connections requiring a licensed electrician are not included unless expressly stated.

22. Child Safety

Window-covering cords and operational components can create safety hazards if installed or used incorrectly.

Products must be installed and operated in accordance with:

  • supplied instructions
  • applicable Canadian product-safety requirements
  • child-safety warnings
  • required tension devices
  • required cord restraints; and

manufacturer directions.

Do not remove, bypass or disable a safety device.

Customers must keep cords, chains, controls and furniture arrangements away from children and vulnerable persons.

We may refuse to manufacture, supply or install a configuration that does not comply with applicable safety requirements.

23. Product Appearance, Tolerances and Natural Characteristics

A product is not considered defective where its appearance, dimensions, operation or construction fall within generally accepted window-covering industry standards, normal manufacturing tolerances or the natural characteristics of the selected material.

The following conditions may occur and are not necessarily defects where they remain within reasonable industry-standard expectations and do not materially prevent normal operation.

23.1 Dimensional and operational tolerances

Normal characteristics may include:

  • minor dimensional variations
  • small light gaps
  • minor differences in bracket, cassette or valance alignment
  • fabric tracking adjustments
  • slight movement of fabric during operation
  • variation in operating force
  • minor noise during operation; and
  • reasonable differences between products of different sizes

23.2 Spearlining and vane alignment

Where dual shades, zebra shades or other banded fabrics are installed next to each other, perfect alignment of the horizontal vanes or bands cannot always be guaranteed.

Spearlining or side-by-side vane alignment may vary by up to approximately 3/8 of an inch, depending on:

  • shade width
  • shade height
  • fabric repeat
  • tube size
  • mounting height
  • operating position
  • production tolerances; and

installation conditions.

Spearlining applies primarily when comparing separate shades positioned beside one another. Minor vane misalignment within the stated tolerance is not considered a defect.

23.3 Fraying

Some woven, screen, textured or cut fabrics may experience minor edge fraying as a natural characteristic of the material.

Minor fraying that does not materially impair product function is not considered a defect and may often be corrected by:

  • carefully trimming loose fibres with suitable scissors; or
  • applying an appropriate fabric fray-control pen or product

Fray-control products may be available for purchase.

Customers should not cut structural stitching, welded edges or material beyond loose surface fibres.

23.4 Edge cupping or curling on wide shades

Wide roller shades and other broad fabric products may naturally cup, curl or turn inward or outward near the vertical edges.

This may be influenced by:

  • fabric construction
  • heat
  • humidity
  • sunlight
  • shade width
  • tube size
  • roll direction; and

the weight of the bottom bar.

Reasonable edge cupping or curling is a natural occurrence and is not considered a defect.

The condition may be reduced by splitting a wide opening into a multi-shade configuration.

23.5 Vertical twist on narrow and long shades

Narrow shades with a long drop may develop a minor vertical twist, spiral or rotation in the hanging fabric.

This can result from the relationship between:

  • the narrow fabric width
  • the long shade height
  • fabric tension
  • bottom-bar weight
  • roll direction; and

natural material memory.

A reasonable amount of vertical twist in a narrow and long shade is a natural occurrence and is not considered a defect.

23.6 Deflection or V-shape on very wide or heavy shades

Very wide or heavy shades may develop:

  • tube deflection
  • bottom-bar deflection
  • a slight downward curve
  • a shallow V-shape; or
  • uneven fabric tension across the width

Reasonable deflection is a natural physical occurrence resulting from shade width, weight and gravity and is not considered a defect.

Deflection may be reduced by:

  • reducing the width
  • selecting a lighter material; or
  • splitting the opening into a multi-shade configuration

Where we recommend splitting a wide or heavy shade and the customer chooses to proceed with one continuous shade, the customer accepts the increased risk of deflection, cupping, tracking or other related characteristics.

23.7 Dye lots, natural materials and samples

Normal characteristics may also include:

  • dye-lot variation
  • grain variation
  • colour variation in natural materials
  • fabric waviness
  • weave variation
  • texture variation
  • minor pattern-placement differences
  • differences between samples and production materials; and
  • changes caused by lighting or viewing angle

23.8 Tracking and telescoping

Roller shades may require minor tracking adjustments.

Reasonable fabric movement, tracking or telescoping is not considered a defect where it can be corrected through standard adjustment and is not caused by a manufacturing failure.

Tracking or telescoping caused by:

  • an out-of-level installation
  • an uneven mounting surface
  • incorrect bracket spacing
  • obstruction
  • altered hardware
  • improper use; or
  • customer self-installation

is not considered a manufacturing defect.

24. Returns, Refunds and Remakes

Returns and refunds are governed by the Return and Refund Policy applicable when the order is placed.

Before returning a product, the customer must obtain authorization from us.

Products returned without authorization may be refused.

Where a product is confirmed to be defective, damaged or incorrectly manufactured, the available remedy may include, as appropriate:

  • repair
  • replacement components
  • adjustment
  • remake
  • replacement; or
  • refund

The appropriate remedy will be determined according to:

  • applicable law
  • the product warranty
  • the nature of the issue
  • whether repair or adjustment is commercially reasonable
  • manufacturer requirements; and

the accepted order.

We may require photographs, videos, measurements, troubleshooting or inspection before approving a remedy.

A product will not qualify for repair, remake or refund merely because its final appearance includes a normal material characteristic or remains within reasonable industry-standard tolerances described in these Terms.

25. Warranties

Products may be covered by:

  • a Save On Blinds warranty
  • a manufacturer's warranty
  • a motor or component warranty; or
  • mandatory statutory warranties or conditions

Warranty duration and coverage vary by product and manufacturer.

Unless prohibited by law, warranty coverage may exclude damage caused by:

  • improper self-installation
  • installation by a person not authorized by us
  • misuse or abuse
  • accidents
  • water or moisture
  • excessive heat
  • outdoor use of an indoor product
  • alterations
  • failure to follow instructions
  • use of incompatible accessories
  • normal wear
  • batteries or consumable components
  • environmental conditions
  • failure to use required safety devices; or
  • characteristics falling within accepted industry tolerances

A warranty remedy may require reasonable access to inspect, remove, repair or reinstall the product.

Any labour, shipping or service-call charge will be disclosed in the applicable warranty or approved before being incurred where required.

26. Customer Accounts

Customers may be able to create a Website account.

Customers are responsible for:

  • maintaining password confidentiality
  • restricting access to their devices
  • providing accurate account information; and
  • notifying us promptly of suspected unauthorized activity

Customers are responsible for activity under their account unless caused by our failure to use reasonable safeguards or otherwise provided by law.

We may suspend or close an account where:

  • fraud is suspected

  • the account is used unlawfully
  • these Terms are materially breached; or
  • closure is reasonably necessary to protect the Website or its users

34. Disclaimer Concerning Website Operation

To the maximum extent permitted by law, the Website is provided on an "as available" basis.

We do not guarantee that:

  • the Website will always be uninterrupted
  • every error will be corrected immediately
  • every device or browser will be compatible
  • Website files will be free from every harmful component; or
  • third-party services will remain available

This Website-operation disclaimer does not apply to express product warranties, accepted sales obligations or mandatory legal rights.

35. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • fraud
  • fraudulent misrepresentation
  • wilful misconduct
  • gross negligence where liability cannot legally be limited
  • death or personal injury caused by negligence where liability cannot legally be limited
  • breach of mandatory consumer rights; or

Subject to the above and to the maximum extent permitted by law, Rightlook Window Fashions Ltd. will not be liable for indirect, incidental, special or consequential loss arising solely from use of or inability to use the Website, including loss of data, profit, opportunity or goodwill.

For claims relating only to free Website access and not to a purchased product or service, our aggregate liability will not exceed the greater of:

  • the amount paid specifically for the affected Website service; and
  • $100

For claims relating to purchased products or services, liability will be governed by:

  • applicable consumer-protection law
  • the accepted sales agreement
  • applicable warranties; and

general Canadian law.

Nothing in this section limits a legally available remedy for defective products, misrepresentation, breach of contract or other mandatory consumer rights.

36. Indemnity for Unlawful Use

To the extent permitted by law, users agree to indemnify Rightlook Window Fashions Ltd. against third-party claims and reasonable costs directly arising from:

  • unlawful use of the Website

  • supplier shutdown
  • material shortage
  • utility failure
  • cyberattack; or

telecommunications failure.

This provision does not excuse payment obligations already due and does not limit statutory cancellation, refund or delivery rights.

We will make reasonable efforts to mitigate the effect of the event and resume performance.

applicable law.

Updated Terms will be posted with a revised "Last updated" date.

  • the change is required by law; or
  • the original agreement expressly permits the change

41. Assignment

Customers may not assign an accepted custom order or their rights under these Terms without our written consent except where applicable law provides otherwise.

We may assign these Terms as part of a merger, reorganization, financing, sale of business or transfer of substantially all relevant assets, provided that the assignment does not eliminate existing consumer rights.

42. No Waiver

Our failure to enforce a provision on one occasion does not waive that provision or prevent later enforcement.

A waiver is effective only if clearly communicated by an authorized representative.

43. Severability

If any provision of these Terms is found invalid, illegal or unenforceable, it will be limited or removed only to the minimum extent required.

The remaining provisions will continue in effect.

44. Entire Agreement

These Terms, together with the documents incorporated by reference and accepted order documents, constitute the agreement between the customer and Rightlook Window Fashions Ltd. concerning the Website and applicable online transaction.

They replace prior representations relating to the same subject except for representations or rights that cannot legally be excluded.

You and Rightlook Window Fashions Ltd. confirm that you wish these Terms and related documents to be prepared in English, except where another language is required by law or agreed to by the parties.
